These Terms of Use (“Terms”) govern your access to and use of Liminal Creative Studio, including the Liminal Creative Studio applications, website, cloud services, synchronization services, collaboration features, and related services collectively referred to as the “Service.”

Liminal Creative Studio is a Dreaming Pictures company. In these Terms, “Liminal,” “we,” “us,” and “our” refer to Liminal Creative Studio and Dreaming Pictures, as applicable.

By creating an account, downloading or using Liminal Creative Studio, purchasing a subscription, or otherwise accessing the Service, you agree to these Terms. If you do not agree to these Terms, do not use the Service.

1. About Liminal Creative Studio

Liminal Creative Studio is a film production and production-management platform designed to help filmmakers, content creators, production teams, and other users organize and manage projects through a connected workspace.

Depending on your account and subscription level, the Service may include screenplay tools, scene management, characters, cast and crew management, locations, production notes, tasks, scheduling, communications, collaboration, reports, cloud synchronization, backup, project sharing, and other production-management features.

Features may differ between Liminal Creative Studio Basic and Pro plans and may change as the Service evolves.

2. Eligibility

You must be legally capable of entering into a binding agreement to use the Service.

If you use Liminal Creative Studio on behalf of a company, production company, organization, or other legal entity, you represent that you have authority to accept these Terms on behalf of that entity.

You are responsible for ensuring that your use of the Service complies with all laws and regulations applicable to you and your production.

3. User Accounts

Certain features require a Liminal Creative Studio account.

You are responsible for maintaining control of your account and the devices through which your account is accessed. You are also responsible for activity performed through your account unless that activity results from a security failure attributable to Liminal.

You agree to provide accurate account information and to keep information associated with your account reasonably current.

Liminal may use Sign in with Apple or other authentication systems to authenticate users. Your use of third-party authentication services may also be subject to the terms and privacy policies of those providers.

You must notify us promptly if you believe your account has been compromised or accessed without authorization.

4. Basic, and Pro Plans

Liminal Creative Studio may offer multiple service levels, including:

Basic
A free service level providing access to the core features identified as Basic features at the time of use.

Pro
A paid subscription providing additional production-management, collaboration, communication, and other advanced features.

The exact features included with each plan are described within the application, on our pricing page, or both.

We may add, improve, replace, or discontinue individual features as Liminal Creative Studio develops. We will not intentionally characterize a materially different product as the same paid service solely to avoid honoring an existing subscription.

5. Subscriptions and Billing

Paid Liminal Creative Studio plans may be offered as auto-renewable subscriptions through Apple’s App Store.

The price and billing period displayed at the time of purchase control your transaction.

When you purchase a subscription through Apple, payment is processed through your Apple Account and is subject to Apple’s applicable purchase and subscription terms. Liminal does not directly control Apple’s billing systems.

Auto-renewable subscriptions renew automatically unless canceled in accordance with Apple’s subscription-management procedures. Apple confirms that auto-renewable subscriptions continue until canceled and provides subscribers with mechanisms to upgrade, downgrade, or cancel eligible subscriptions. Apple Developer

You may manage an App Store subscription through your Apple Account.

Changes between subscription levels, including upgrades and downgrades, may become effective according to Apple’s applicable subscription rules.

Taxes, currency conversion, regional pricing, and other charges may vary based on your App Store country or region.

6. Cancellation

You may cancel an auto-renewable subscription through your Apple Account.

Canceling automatic renewal generally prevents the subscription from renewing at the end of the current paid subscription period. Access to paid features ordinarily continues until the current subscription entitlement expires, subject to Apple’s applicable rules and the status reported to Liminal by Apple’s systems. Canceling a paid subscription does not necessarily delete your Liminal account or your locally stored project information.

If your account returns to Basic after a paid subscription expires, features that require Pro or Studio may become unavailable or restricted.

We recommend exporting or otherwise securing any information you need before allowing a subscription to expire if that information depends upon a paid feature for access or export.

7. Refunds

Purchases made through Apple’s App Store are processed by Apple. Requests for refunds for those purchases are generally handled according to Apple’s applicable policies and procedures.

Liminal cannot guarantee that Apple will approve a refund request.

Any purchases made directly from Liminal in the future, if offered, may be subject to separate refund terms disclosed at the time of purchase.

8. Offline Use and Synchronization

Liminal Creative Studio is designed so that supported functionality can operate without a continuous internet connection.

Certain features, however, require internet connectivity, including cloud synchronization, account authentication, subscription verification, communications, collaboration, cloud backup, and other network-dependent functionality.

Changes made while offline may be synchronized when a connection becomes available.

Synchronization is inherently dependent upon factors outside Liminal’s complete control, including network connectivity, device availability, operating-system behavior, cloud-service availability, account state, simultaneous changes from multiple devices or users, and other technical conditions.

You are responsible for confirming that important production information has synchronized before relying upon another device or user to have received the latest version.

9. Your Content and Production Data

You retain ownership of the content you create, import, upload, enter, or store through Liminal Creative Studio, including, as applicable:

screenplays; scenes; characters; production notes; cast and crew information; location information; schedules; tasks; reports; attachments; photographs; production documents; project information; and other production materials.

Liminal does not acquire ownership of your screenplay, film, production, characters, creative ideas, or other intellectual property merely because you use the Service.

You grant Liminal only the rights reasonably necessary to store, process, synchronize, transmit, back up, display, and otherwise handle your content for the purpose of providing the Service to you and users with whom you choose to collaborate.

This permission ends when the relevant content is deleted from our systems, subject to reasonable backup, security, legal, and technical retention requirements.

10. Responsibility for Your Content

You are responsible for content that you create, import, upload, share, or distribute through Liminal.

You represent that you have the rights or authorization necessary to use content you place within the Service.

You may not use Liminal to knowingly store, transmit, distribute, or facilitate content that:

  • violates applicable law;
  • infringes another person’s intellectual-property rights;
  • contains malware or malicious code;
  • unlawfully violates another person’s privacy;
  • is intended to compromise or interfere with the Service or another user’s systems; or
  • is otherwise prohibited by these Terms.

Liminal does not claim responsibility for determining ownership of screenplays, production materials, photographs, trademarks, music, footage, releases, contracts, or other materials uploaded by users.

11. Cast, Crew, and Personal Information

Film-production projects may contain information concerning cast members, crew members, contractors, vendors, performers, locations, or other individuals.

You are responsible for ensuring that you have an appropriate legal basis or permission to enter, store, share, and process such information through Liminal.

Do not use Liminal to collect or store information that you are legally prohibited from possessing or processing.

Our handling of personal information is also governed by our Privacy Policy.

12. Collaboration and Sharing

Certain Liminal plans may allow you to invite other users, create groups, share projects or scenes, communicate with production members, or otherwise collaborate.

You are responsible for determining who receives access to your projects and information.

When you grant another person access to production information, that person may be able to view, modify, communicate, export, or otherwise interact with information according to the permissions available within the Service.

You should review access permissions before sharing confidential, proprietary, pre-release, or commercially sensitive production information.

Liminal is not responsible for actions taken by people whom you intentionally authorize to access your project, except to the extent required by applicable law.

13. Cloud Storage and Backup

Where available, Liminal may provide cloud synchronization, backup, or related storage functionality.

Cloud functionality is intended to improve availability and synchronization of production information. It should not be treated as the sole archival system for irreplaceable production assets.

For important productions, you should maintain appropriate independent copies or exports of critical information.

Although we take reasonable measures designed to protect and maintain data, no storage or synchronization system can guarantee that data will never be corrupted, delayed, lost, or become unavailable.

14. Acceptable Use

You may not:

  • attempt to gain unauthorized access to Liminal systems or another user’s account;
  • intentionally interfere with or disrupt the Service;
  • introduce malware, malicious code, or harmful automated processes;
  • use automated systems to place unreasonable loads on our infrastructure;
  • circumvent subscription restrictions or access controls;
  • impersonate another person or organization;
  • use the Service to facilitate unlawful activity;
  • reverse engineer or attempt to extract protected source code except where such restrictions are prohibited by applicable law; or
  • use Liminal’s trademarks, branding, or copyrighted materials without authorization.

15. Liminal Intellectual Property

Liminal Creative Studio, including its software, interface design, branding, logos, documentation, graphics, workflows, underlying technology, and other proprietary materials, is owned by or licensed to Liminal Creative Studio, Dreaming Pictures, or their respective licensors.

These Terms do not transfer ownership of Liminal intellectual property to you.

Your rights are limited to using the Service as permitted by these Terms and applicable license agreements.

16. Application License and Apple

Applications downloaded through Apple’s App Store are licensed, not sold.

Unless Liminal provides a separate custom End User License Agreement applicable to the application, Apple’s Standard Licensed Application End User License Agreement applies to the application. Apple’s Standard EULA provides a nontransferable license to use the application on Apple-branded products that you own or control, subject to Apple’s Usage Rules. Apple

These Terms govern your relationship with Liminal concerning the Liminal Service and do not replace Apple’s terms governing your use of Apple services or the App Store.

17. Third-Party Services

Liminal may interact with services or technology provided by third parties, including Apple, cloud infrastructure providers, authentication providers, and other service providers.

We are not responsible for third-party services that we do not control.

Your use of a third-party service may be governed by that provider’s own terms and privacy policies.

18. Availability and Changes to the Service

We work to keep Liminal available and reliable, but we do not guarantee uninterrupted or error-free operation.

The Service may occasionally be unavailable because of maintenance, software updates, network failures, cloud-provider interruptions, operating-system changes, security issues, technical failures, or circumstances beyond our reasonable control.

We may modify Liminal as the product develops, including adding, changing, or removing features.

Where reasonably practicable, we will attempt to avoid changes that unnecessarily compromise users’ ability to retrieve important production information.

19. Beta and Pre-Release Features

Liminal may occasionally provide beta, preview, experimental, or pre-release functionality.

Such features may be incomplete, contain errors, change substantially, or be discontinued.

You should not rely exclusively upon beta functionality for irreplaceable or mission-critical production information.

20. No Production Outcome Guarantee

Liminal Creative Studio is a production-management tool.

We do not guarantee that use of Liminal will result in completion, financing, distribution, profitability, legal compliance, scheduling accuracy, production safety, or commercial success of any film or production.

Information generated or organized through Liminal should be reviewed by the appropriate members of your production team.

Liminal does not replace professional legal, accounting, insurance, safety, payroll, tax, union, guild, or other specialized advice.

21. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

WE DO NOT WARRANT THAT THE SERVICE WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR FREE FROM DATA LOSS.

NOTHING IN THESE TERMS EXCLUDES WARRANTIES OR RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED UNDER APPLICABLE CONSUMER-PROTECTION LAW.

22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LIMINAL CREATIVE STUDIO AND DREAMING PICTURES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE, INCLUDING LOSS OF PROFITS, REVENUE, PRODUCTION OPPORTUNITIES, BUSINESS, GOODWILL, OR DATA.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE SERVICE DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR $100 USD.

Some jurisdictions do not permit certain exclusions or limitations of liability. Where such laws apply, these provisions apply only to the maximum extent permitted by law.

23. Suspension and Termination

We may suspend or terminate access to the Service if we reasonably determine that:

  • you materially violated these Terms;
  • your account is being used fraudulently;
  • your activity threatens the security or operation of the Service;
  • suspension is required by law; or
  • continued access would create a material security or legal risk.

Where appropriate and legally permissible, we will attempt to provide notice and an opportunity to address the issue before permanent termination.

You may stop using Liminal at any time.

Termination of a Liminal account does not automatically cancel an App Store subscription. App Store subscriptions should be managed through Apple.

24. Changes to These Terms

We may update these Terms as Liminal Creative Studio evolves or as legal, regulatory, operational, or technical requirements change.

The “Last Updated” date at the top of this page identifies the most recent revision.

If we make material changes, we may provide additional notice through the website, application, email, or another reasonable method.

Your continued use of the Service after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

25. Privacy

Our collection, use, storage, and handling of personal information is described in the Liminal Creative Studio Privacy Policy.

Your use of the Service is subject to both these Terms and our Privacy Policy.

26. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles, except where applicable consumer-protection law requires otherwise.

Any dispute arising from these Terms or the Service will be subject to the jurisdiction and dispute-resolution provisions permitted under applicable law.

I would not publish this section until your attorney fills in the jurisdiction and determines whether you want arbitration, a jury-trial waiver, a class-action waiver, or ordinary court jurisdiction. Those are substantive legal decisions, not boilerplate I would choose for you.

27. Severability

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

28. Entire Agreement

These Terms, together with the Privacy Policy, applicable Subscription Terms, applicable End User License Agreement, and any other terms expressly incorporated by reference, constitute the agreement governing your use of the applicable Liminal services.

If a specific agreement conflicts with these general Terms concerning a matter specifically addressed by that agreement, the more specific agreement controls for that matter.
